Welcome to Rotto, a platform operated by Pran Motors (“Company”, “we”, “our”, or “us”). These Terms & Conditions (“Terms”) govern your access to and use of our website alpharotto.com, our mobile applications, and all related services, features, tools, and interactions (together, the “Platform”). By accessing or using Rotto, you agree to these Terms in full. If you do not agree, please do not use the Platform. As an early-stage company, our offerings may evolve; these Terms are intentionally broad so they remain valid as we grow into new features, categories, and markets.

1. Eligibility

Use of Rotto is restricted to individuals 18 years or older. Vendors, garages, mechanics, and other service providers must meet applicable legal and professional requirements. We may request verification at any time and may restrict access if eligibility is not met.

2. Nature of Services

Rotto is a multi-service, multi-party platform for the car ownership journey. Services may include repair, maintenance, roadside assistance, inspections, warranties, insurance facilitation, finance and loans, parking discovery, washing and detailing, accessories installation, legal/RTO support, resale and buy/sell, driver services, advisory and AI-based assistance, and future offerings. Services may be expanded, modified, withdrawn, or replaced at our discretion without prior notice.

3. User Accounts

You may need an account to access certain features. Provide accurate information and keep it updated. You are responsible for maintaining confidentiality of credentials and for all activity under your account. We may suspend or terminate accounts at our discretion for violations or other necessary reasons.

4. Vendor and Service Provider Participation

Providers must comply with laws, standards, and any requirements we establish. We may request documentation, certifications, photographs, or invoices. We do not guarantee minimum volume, exclusivity, or outcomes. We may, but are not obligated to, mediate disputes; any settlement does not admit liability.

5. Transactions and Payments

Payments may be facilitated via gateways, wallets, UPI, cards, or other mechanisms subject to the processors’ terms. We do not store complete payment credentials but may store transaction records. Refunds, cancellations, and disputes follow our policies, vendor terms, and applicable laws. Fees, commissions, discounts, promotions, and offers may change at any time.

6. Pricing, Estimates, and Quotes

Prices and estimates (including AI-generated ones) are indicative and may vary based on scope, parts, labor, time, vendor policies, or unforeseen circumstances. Review and accept service terms before proceeding. We are not responsible for discrepancies, though we may intervene in cases of fraud or malpractice at our discretion.

7. Communications and Notifications

By using Rotto, you consent to communications via email, SMS, calls, push notifications, or other channels. You may opt out of promotional messages; operational messages are necessary and cannot be disabled.

8. Responsibilities and Conduct

Use the Platform lawfully and responsibly. Misuse (e.g., fraudulent bookings, false claims, harassment, system interference, or unauthorized access) may result in suspension or legal action. Vendors must deliver services with integrity and in line with standards. We may investigate complaints, collect evidence, and take action including suspension, blacklisting, reporting, or legal remedies.

9. Content and Intellectual Property

All IP related to Rotto (branding, designs, content, decision trees, AI models, and software) belongs to Pran Motors or its licensors. By submitting content (photos, documents, reviews, feedback), you grant us a non-exclusive, royalty-free, worldwide license to use and display it in connection with the Platform. We may moderate or remove content that violates laws, third-party rights, or our policies.

10. Disclaimers

The Platform is provided “as is” and “as available.” We do not guarantee accuracy, availability, timelines, vendor performance, or outcomes. AI-based suggestions are indicative and not certified professional advice. We are not liable for damages arising from reliance on information, errors, interruptions, delays, failures, unauthorized access, or external factors.

11. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, consequential, exemplary, or punitive damages (including loss of data, revenue, business, goodwill, or personal injury). Direct liability, where proven, is limited to the lesser of (i) the amount paid for the relevant transaction or (ii) INR 5,000. Some jurisdictions may not allow such limits; in those cases, the minimum permitted by law applies.

12. Indemnity

You agree to indemnify and hold harmless the Company and its affiliates, partners, employees, vendors, and agents from claims, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, violation of these Terms, breach of law, or infringement of third-party rights. Providers further indemnify us for claims arising from services they deliver.

13. Termination and Suspension

We may suspend, limit, or terminate accounts or access at any time, with or without notice, for reasons including violation of these Terms, fraud, misconduct, inactivity, operational needs, or business decisions. Post-termination, your right to use the Platform ceases, though obligations such as payments, indemnities, and liabilities may continue. Records may be preserved for compliance or disputes.

14. Modifications to Terms

We may update these Terms periodically. Updates will be posted with a new Effective Date. Continued use after changes constitutes acceptance. We may require re-acceptance before continued use.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of courts in [City, India — e.g., Bengaluru]. You agree to submit to such jurisdiction and waive objections based on inconvenience or alternative forums.
